1. Your agreement with us
These Terms of Service govern your use of the OmnigentAI platform and related services provided by OmnigentAI ("OmnigentAI", "we", "us"). By creating an account or using the service, you agree to these Terms. If you act for a business or another organization, you confirm that you have authority to bind it. If you do not agree, do not create an account or use the service.
These Terms cover agents and avatars, conversations and widgets, forms and booking, conferencing and Event Studio, Virtual Academy, workspaces, agency tools and related services. The features available to you depend on your plan, permissions and setup. A separately agreed written contract or order takes precedence for any conflicting subject it expressly covers. Our Privacy Policy explains personal-information handling.
2. Eligibility and account responsibility
You must be at least 18, or the higher age of legal majority where you live, to own an account. Provide accurate registration and billing information, keep it current, safeguard your password and API credentials, and notify us promptly of suspected unauthorized access. You are responsible for people you authorize, account activity and compliance with your plan.
Only grant team members, agencies and clients the permissions they need. Do not share access to bypass user limits or impersonate another person. Event hosts and course providers must manage participant eligibility and obtain any required guardian authorization. The platform is not intended for children under 13.
3. Access, plans and service limits
We grant you a limited, nonexclusive right to use the service during your authorized subscription or access period. Plan limits may cover agents, users, minutes, credits, storage, concurrent sessions, media or other features. Review the applicable checkout, order and in-app limits before purchasing. Additional use or optional services may require payment.
A plan label, VIP setting or provider-key selection does not by itself guarantee dedicated hardware, a particular response time, unlimited concurrency or a specific business result. Capacity and performance depend on the purchased service, provider allocation, internet connection, device and configuration. Any service-level commitment must be expressly agreed in writing.
4. Fees, renewals, cancellation and refunds
You authorize the charges disclosed for your purchase, including applicable taxes and any explicitly selected recurring billing. The price, currency, billing interval, usage allowance and renewal conditions shown at checkout or in your order apply. Payment processors and resellers may have additional terms. Do not assume a credit or minute balance is cash or transferable unless your order says so.
For a recurring purchase, cancel through the billing provider or merchant that manages it, or contact us for help before the next renewal. Cancellation takes effect according to the purchase terms; closing a browser, disconnecting an integration or ceasing use is not a cancellation request. Contact the merchant shown on your receipt about reseller or course purchases.
Refund eligibility, unused credits, cancellation timing and continued access follow the terms disclosed at checkout or in your written agreement and any mandatory consumer rights. These Terms do not promise a universal money-back period or remove refunds required by law. Contact us with your purchase reference to request assistance. We will communicate changes to recurring charges as required by your purchase terms and applicable law.
5. Your content and our permission to process it
You retain your rights in content you provide, including business knowledge, documents, prompts, branding, recordings, course materials and customer information. You grant us permission to host, store, copy, transmit, process and display that content as needed to deliver the features you request, support the service and carry out your authorized instructions. This includes sending relevant content to configured AI and other service providers.
You must have the rights and lawful permissions needed to upload, import, crawl, publish or share content and personal information. A publicly accessible web page does not automatically grant those rights. Keep copies of important originals and check your publication settings. Generated outputs may not be unique, accurate, protectable by copyright or free from third-party rights; you are responsible for reviewing and using them lawfully.
6. AI agents and human oversight
AI can produce incorrect, misleading, incomplete or outdated statements, even when connected to your knowledge base. Review sources, instructions and generated material before relying on or publishing them. An AI agent is not a licensed professional, emergency service or substitute for qualified medical, legal, financial or other expert advice.
You are responsible for the claims and offers your agent makes on your behalf. Tell visitors when they are interacting with AI and provide an appropriate way to seek human help. Do not use the service as the sole basis for consequential decisions about a person. An agent's statement that it will book, send, purchase or transfer something is not proof the action completed; check the relevant confirmation or workflow result.
7. Voice, likeness and cloning consent
Only submit an adult's voice, likeness or training media with that person's explicit, informed authorization and the rights needed for the proposed use. Provide genuine consent evidence when requested. Do not impersonate someone, misrepresent an endorsement, fabricate consent, upload a child's cloning materials or use a clone deceptively or unlawfully.
Consent review and provider approval may be required before a clone is usable. We may reject or suspend a cloning request. If authorization is withdrawn, stop using the clone and notify us so access and deletion requests can be addressed. Revocation and deletion may require coordination with the provider and do not remove copies already lawfully distributed or independently retained.
8. Visitor data, outreach and integrations
If you operate an agent, widget, extension, form or customer workspace, you must provide an accurate privacy notice, collect only appropriate information, establish a lawful basis and obtain any required consent for tracking, recordings, memory, marketing and sharing. Do not treat a request for help or a booking as blanket marketing consent. Honor withdrawals, opt-outs and valid privacy requests.
You authorize only the integrations and destinations you configure. Protect connection credentials and ensure you have authority to access connected accounts and calendars. You are responsible for selected recipients, appointment settings, custom webhooks and the legality of messages sent on your behalf. Review provider results rather than assuming a successful delivery attempt completed the business action.
Third-party AI, media, calendar, payment, email, messaging, storage and streaming services have their own terms, limits, fees and availability. We do not control independent providers. Revoking access or provider changes may interrupt a feature; removing a connection does not undo messages sent, appointments created or copies held elsewhere.
9. Events, recordings, broadcasts and courses
Hosts control invitations, access and the features they enable. Before recording, transcribing, translating, dubbing, sharing a screen or broadcasting, give the required notices and obtain all necessary participant, presenter, copyright and platform permissions. A broadcast or shared link can reach people outside your workspace. Do not disclose private information without authority.
Course providers are responsible for the accuracy, rights, suitability, pricing and fulfillment of their courses, student notices and any refunds they owe. Enrollment does not promise certification, accreditation, employment or a learning outcome unless the provider separately makes that commitment. Students must respect access conditions and must not redistribute paid or restricted materials without permission.
10. Acceptable use
You must not use the service to:
- Violate law, privacy, intellectual-property rights or another person's lawful rights; commit fraud, harassment, exploitation or deceptive impersonation; or create or distribute illegal sexual content.
- Send unlawful spam, phishing, malware or abusive automated outreach; collect sensitive information without the necessary authority; or enable covert monitoring.
- Access another workspace without permission, steal credentials, bypass quotas or billing, defeat security controls, disrupt media infrastructure or probe systems without authorization.
- Misrepresent generated content or a cloned identity in a way that deceives or harms people, or evade a provider's safety restrictions.
- Resell or sublicense platform access outside the agency, reseller or other rights expressly granted by your plan or agreement.
Report suspected abuse or rights violations using the contact below. Include enough information to identify the affected content or account and your authority to raise the concern.
11. Agency and assisted setup services
Agency and white-label features let authorized customers manage client workspaces, branding, domains and permissions within their entitlement. You remain responsible for your client contracts, representations, support commitments, DNS/domain rights and customer privacy obligations. Branding does not transfer ownership of the platform or create a partnership with us.
Assisted or done-for-you setup is limited to the scope agreed for the order. You must supply authorized materials and approvals. Do not assume a draft, preview or submitted request is a finished deployment; review the delivered configuration and acceptance steps. External services and domain activation can require separate setup or approval.
12. Platform ownership and feedback
We and our licensors retain rights in the platform's software, design, documentation and trademarks. Your subscription provides access, not ownership of those materials. Do not copy or distribute the platform, remove proprietary notices or use our marks to imply an endorsement without permission. These restrictions do not override rights granted by an applicable open-source license or mandatory law.
If you voluntarily give us suggestions, you permit us to use them to improve the service without an obligation to compensate you. This does not give us ownership of your confidential business content.
13. Suspension, termination and your records
We may restrict or suspend access where reasonably needed for nonpayment, misuse, security, legal compliance or a material breach. Where practical and appropriate, we will provide notice and an opportunity to resolve the issue; urgent risks may require immediate action. You may stop using the service and request account closure through support, while separately addressing any recurring billing.
When access ends, rights to use the service end and outstanding valid charges remain payable. Export or request important records before closure where available. Deletion, backup expiry and legal retention follow the Privacy Policy and applicable agreements; we do not promise indefinite storage or immediate removal of every copy. Terms that by their nature apply after termination continue to apply.
14. Availability and warranties
We aim to provide a useful, reliable service, but internet, device, maintenance and third-party issues can cause delays, errors or interruptions. Features may change as technology and providers change. Unless expressly agreed otherwise, and to the extent law permits, the service and AI outputs are provided as available, without guarantees of uninterrupted operation, accuracy, fitness for a particular purpose or a particular commercial outcome.
Nothing in these Terms excludes a warranty, quality standard or consumer protection that cannot lawfully be excluded. Any separately agreed support or service-level terms still apply.
15. Responsibility and liability
To the extent permitted by law, we are not liable for indirect or consequential losses, such as lost profits, business opportunities or anticipated savings, arising from use of the service. Subject to the exceptions below, our aggregate liability arising out of the affected service is limited to the fees you paid us for that service in the 12 months before the event giving rise to the claim.
These limits do not apply to fraud, deliberate misconduct, death or personal injury caused by negligence, or any liability or statutory remedy that applicable law does not allow us to exclude or limit. A separately negotiated agreement may provide different limits. You remain responsible for your own unlawful content or conduct and for commitments you independently make to your customers.
16. Changes, disputes and general terms
We may update these Terms and will show the updated date. For material changes, we will provide notice and any opportunity to end the affected service required by applicable law or your agreement. Where a change requires fresh agreement, we will request it. Continued use after a properly notified effective date constitutes acceptance to the extent permitted by law.
Contact us first about a dispute so we can try to resolve it. These Terms do not impose mandatory arbitration or remove your right to approach a competent court or regulator. Applicable law, including mandatory consumer protections and jurisdiction rules, continues to apply; any governing-law provision in a separately agreed contract is subject to those protections.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent lawful. Failure to enforce a provision immediately does not waive it. These Terms, the applicable order and any separately agreed written terms form the agreement for the service. Contact us below for account, purchase or legal questions.
